Welcome to heliora.ai ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old or have the legal capacity to enter into a binding agreement under applicable law to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. Account registration

  • You may create an account using email and password or by authenticating via third-party providers such as Google.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • You agree to notify us promptly of any unauthorized use of your account or any other breach of security.

3. Description of the Service

heliora.ai provides tools to generate and manage AI-based content, including but not limited to images, videos, audio, and text. We integrate with multiple Third-Party AI Providers (such as fal.ai, OpenAI, Luma, ElevenLabs, Leonardo, and Google AI models including Gemini and Veo 3.1 High Quality) to deliver these capabilities.

4. Plans, subscriptions, and credits

4.1 Free tier

  • The free tier is intended for personal and non-commercial use only.
  • Assets generated under the free tier may not be used for commercial purposes (including, without limitation, selling, licensing, or using them in connection with a product or service that generates revenue), unless we provide explicit written permission.

4.2 Paid plans (Starter, Pro, Business)

  • Paid plans (such as Starter, Pro, and Business) include commercial rights to use the assets generated during an active, properly paid subscription, subject to these Terms and any specific limitations disclosed in the plan description.
  • Commercial rights are limited to the extent permitted by Third-Party AI Providers' own terms. Where a provider imposes additional restrictions, those restrictions override or complement the rights granted here.

4.3 Additional credits

  • You may purchase additional credits to generate more assets beyond what is included in your subscription.
  • Credits may be subject to expiration or usage limits as indicated at the time of purchase or in your account dashboard.

4.4 Billing and renewal

  • By subscribing to a paid plan or purchasing credits, you authorize us and our payment processors to charge the applicable fees to your chosen payment method.
  • Unless otherwise stated, subscriptions renew automatically at the end of each billing cycle until canceled.
  • You can cancel future renewals at any time through your account settings. Cancellation will take effect at the end of the current billing period; no refunds are provided for partial periods unless required by applicable law.

5. Use of AI-generated assets and ownership

5.1 Your content

You retain ownership of the input content and data you provide to the Service (such as prompts, uploaded images, audio, or video), subject to any rights you grant to us and to Third-Party AI Providers as necessary to operate the Service.

5.2 Generated assets

  • Free tier: you may use generated assets for personal, non-commercial purposes only.
  • Paid plans (Starter, Pro, Business): you are granted a license to use generated assets for commercial purposes, subject to:
    • compliance with these Terms and all applicable laws; and
    • compliance with the terms and policies of Third-Party AI Providers, which may impose additional restrictions on use, redistribution, or attribution.

5.3 Restrictions

  • You must not represent that AI-generated assets were created entirely by a human where such representation could be misleading.
  • You must not use the Service or the generated assets to violate any third-party rights (including copyright, trademark, privacy, or publicity rights).

6. Acceptable use

You agree not to use the Service to:

  • Generate or distribute content that is illegal, abusive, hateful, discriminatory, or that incites violence.
  • Generate content that violates intellectual property rights or other rights of third parties.
  • Attempt to reverse engineer or extract proprietary information about models, providers, or the platform.
  • Interfere with or disrupt the integrity or performance of the Service, including attempts to bypass usage limits or security mechanisms.
  • Use the Service in violation of the terms and usage policies of any Third-Party AI Provider.

7. Third-Party AI Providers and services

  • Our Service relies on Third-Party AI Providers, such as fal.ai, OpenAI, Luma, ElevenLabs, Leonardo, and Google AI models. Your prompts and content may be sent to these providers to generate assets.
  • Your use of outputs from certain providers may also be subject to their own terms, policies, and content guidelines. You are responsible for reviewing and complying with those terms.

8. Service changes and availability

  • We may modify or discontinue any part of the Service, temporarily or permanently, with or without notice, as long as such changes comply with applicable law and any commitments made to you.
  • We are not responsible for downtime or interruptions caused by Third-Party AI Providers, hosting providers, or other external services.

9. Disclaimers

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We do not guarantee that AI-generated outputs will be accurate, free of errors, or suitable for any specific purpose, nor that they will not infringe third-party rights.

10. Limitation of liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill, arising out of or related to your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless heliora.ai, its owners, affiliates, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service or your violation of these Terms.

12. Governing law

These Terms shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law principles, unless another jurisdiction is required by mandatory local law where you reside.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
